Affiliate Program Terms

These Affiliate Program Terms ("Affiliate Terms") govern your participation in the Axion Algo referral / affiliate program (the "Program"). They are in addition to, and incorporate by reference, the Axion Algo Terms and Conditions and Privacy Policy. By applying to or participating in the Program, you agree to these Affiliate Terms. If you do not agree, do not apply to or participate in the Program.
Section 1 — Eligibility and Approval
Participation in the Program is not automatic. You must submit an application and be approved by Axion Algo. We may approve, reject, pause, suspend, or terminate any affiliate account at our sole discretion, at any time, with or without cause and without prior notice. We may decline applications or withhold commissions where we suspect fraud, abuse, or any breach of these Affiliate Terms. You must be at least 18 years old and provide accurate application and payout information.
Section 2 — Tracking, Attribution, and Cookie Disclaimer
When someone clicks your unique referral link, we attempt to attribute them to you using a browser cookie and, where available, a server-recorded attribution at sign-up. Attribution is first-touch: the first affiliate associated with a given customer account is the affiliate of record, and attribution cannot be changed afterward. Each referred customer account can be attributed to only one affiliate.
No guarantee of attribution or commission due to cookie or technical failure. Referral tracking depends on technologies and third parties outside our control. We do not guarantee that any click, sign-up, or purchase will be attributed to you, and we are not responsible for, and owe no commission on, any conversion that is not successfully tracked. This includes, without limitation, cases where:
- the visitor has cookies disabled, blocked, or cleared, or uses private/incognito browsing, an ad-blocker, or anti-tracking software;
- the visitor clicks your link on one device or browser and purchases on another (cross-device / cross-browser);
- the cookie window expires before purchase, or another affiliate's attribution was recorded first;
- the visitor reaches checkout without the referral parameter, or the link was altered, shortened, or stripped of its referral code;
- a browser, operating system, network, payment provider, or third-party platform change, outage, or error prevents tracking.
You acknowledge that tracking is provided on a best-effort, "as-is" basis and that lost, missing, or incorrect attribution does not entitle you to any commission, retroactive credit, or compensation.
Section 3 — Commissions: One-Time, First Payment Only
You earn a commission only once per referred customer account. A commission is generated solely on the referred customer's first successful, paid subscription payment. You do not earn on:
- renewals or any subsequent billing periods (monthly or otherwise);
- upgrades, downgrades, plan changes, or repeat invoices;
- reactivations or new subscriptions by the same customer after a cancellation;
- $0 invoices, free trials, or fully discounted (100%-off) payments — the first positive payment is what counts;
- your own account or any account you control (self-referral).
Commission rates are set by Axion Algo and may be tiered across referral levels (for example, a direct referral and up to two upline levels). The applicable rate is the one in effect at the time the qualifying first payment is processed. We may change commission rates, levels, and the structure of the Program at any time on a going-forward basis.
Section 4 — Approval, Hold Period, and Reversals
All commissions are created with a pending status and are subject to a holding period (currently 30 days) and to our review. Only commissions belonging to active affiliates are eligible for approval. We may reject or withhold any commission at our discretion, including where we suspect fraud, self-referral, or any breach of these Affiliate Terms.
If a referred customer's payment is refunded, charged back, or disputed, the related commission is automatically reversed. If the commission had already been paid out to you, the reversed amount will be deducted from your future earnings or payouts, or otherwise reclaimed. You are responsible for any negative balance resulting from reversals.
Section 5 — Payouts
- Payouts are made via PayPal to the email on your affiliate profile.
- You may request a cashout of your approved balance once per calendar month, subject to a minimum payout amount (currently $10.00).
- Payouts are reviewed and processed manually; timing is not guaranteed.
- You are solely responsible for providing correct payout details. Payments sent to an incorrect PayPal address you provided are not our responsibility.
- You are solely responsible for any taxes, levies, or duties on commissions you earn. Commissions are paid gross of tax.
Section 6 — Prohibited Conduct and Forfeiture
The following are strictly prohibited and may result in withholding or forfeiture of commissions, suspension or termination of your affiliate account, and reversal of pending or paid amounts:
- self-referrals or referring accounts you own or control, directly or indirectly;
- cookie stuffing, forced clicks, iframe stuffing, or any artificial inflation of clicks, sign-ups, or conversions;
- fraudulent, fake, or incentivized sign-ups, or purchases made with the intent of being refunded after a commission is paid;
- spam, unsolicited messaging, or promotion that violates any law or third-party platform policy;
- bidding on Axion Algo trademarks, impersonating Axion Algo, or making false, misleading, or guaranteed-income claims about the product or the Program;
- any conduct that misrepresents the relationship between you and Axion Algo.
We reserve the right to investigate suspected abuse and to withhold or claw back any commission connected to prohibited conduct. Our determination is final.
Section 7 — Independent Relationship; No Guarantee
Your participation in the Program does not create any employment, partnership, joint venture, or agency relationship between you and Axion Algo. You are an independent participant. We make no representation or guarantee of any minimum earnings, number of conversions, or income. Any earnings examples or calculators are illustrative only and are not promises of results.
Section 8 — Changes and Termination of the Program
We may modify, suspend, or discontinue the Program (in whole or in part), change commission rates and rules, or update these Affiliate Terms at any time. Material changes will be reflected by updating the "Last Updated" date above and/or by notice. Your continued participation after changes constitutes acceptance. Upon termination of the Program or your account, unpaid commissions that do not meet payout eligibility, or that are connected to a breach, may be forfeited.
Section 9 — Limitation of Liability and Governing Law
To the fullest extent permitted by law, Axion Algo is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost or untracked commissions, arising from your participation in the Program. Our total liability relating to the Program will not exceed the total commissions actually paid to you in the three (3) months preceding the event giving rise to the claim. These Affiliate Terms are governed by the laws of the State of Delaware, USA, and subject to the exclusive jurisdiction of its courts.
