Section 1 - Acceptance of Terms and Eligibility

By using or subscribing to Axion Algo, you agree to be bound by all the terms and conditions outlined in this Terms and Conditions document ("Terms"). If you do not agree with any part of these Terms, you must not use the Axion Algo service.

Age Requirement: You represent that you are at least 18 years old (or the age of majority in your jurisdiction). If you are under 18, you may only use Axion Algo under the supervision and with the consent of a parent or legal guardian. Axion Algo is not intended for unsupervised use by minors.

Important: Axion Algo is not a registered company or incorporated legal entity. It is an unincorporated online service. References to "Axion Algo," "we," or "us" in these Terms refer to the service and its operator, and not to a legally registered corporation.

By accepting these Terms, you also agree to abide by any policies referenced herein (such as our Privacy Policy, if applicable). You are responsible for ensuring that any information you provide to us during registration or use of the service (such as your name, email, TradingView username, etc.) is accurate, current, and complete. You must promptly update your information if it changes.

Account Security: If you create an account or subscription with Axion Algo, you are responsible for maintaining the confidentiality of your account login credentials. You agree to notify us immediately at our contact email if you suspect any unauthorized use of your account or any breach of security. You are responsible for all activities that occur under your account, whether or not authorized by you. You should use a secure password and exercise caution when accessing your account from public or shared devices.

By using Axion Algo, you affirm that you have the legal capacity to enter into this agreement. If you are using Axion Algo on behalf of an organization or third party, you represent that you have the authority to bind that entity to these Terms, in which case "you" shall refer to that entity.

Section 1.1 - Risk Disclosure and Regulatory Status

Trading Risk: Trading entails substantial risk, and many participants can—and often do—lose capital. All content on this website is provided solely for educational and informational purposes and must never be construed as individualized financial, investment, tax, legal, or accounting advice. Any decision to buy, sell, hold, or otherwise trade securities, commodities, derivatives, cryptocurrencies, or any other asset carries inherent risk and should be made only after consulting a properly licensed financial professional familiar with your objectives, financial situation, and risk tolerance. Past performance does not guarantee future results, and market conditions can change rapidly.

Regulatory Status: Axion Algo is not registered with the U.S. SEC, CFTC, NFA, or with any EU/EEA authority (e.g., CNMV, FCA, BaFin). We do not act as Investment Advisers, Commodity Trading Advisors, or regulated brokers.

CFTC Rule 4.41 Disclosure: Hypothetical or simulated performance results have inherent limitations; they do not represent live trading and may under- or over-compensate for factors such as liquidity, slippage, variable spreads, or trader psychology. No representation is made that any account will achieve profits or losses similar to those shown.

Educational Services Only: Monthly meetings in select plans are purely instructional: they demonstrate theoretical indicator use, general risk-management ideas, and platform functions. Axion Algo does not give personalized trade instructions or specific security recommendations, and no advisory or fiduciary relationship is created. You remain solely responsible for your trading decisions and should consult a licensed professional before acting on any information discussed.

Presets and Templates: All presets, templates, and indicator set-ups provided by Axion Algo are generic, impersonal configurations offered to every user for educational demonstration only. They do not account for your personal financial circumstances and must not be interpreted as trading advice, signals, or recommendations. Performance of any preset in historical tests is hypothetical and subject to the limitations described above.

Service Limitations: As a provider of technical-analysis indicators and related charting tools, we neither solicit trades nor manage funds. We have no access to customers' brokerage statements or trading accounts and therefore cannot verify whether users of our content outperform or underperform the trading community at large.

Third-Party Services: Charts and price data are powered by TradingView® (www.TradingView.com). TradingView® is a registered trademark of TradingView, Inc. TradingView®, its affiliates, and employees have no association with—and do not endorse—Axion Algo or the services described herein.

High-Risk Products: Leveraged products, short-selling, options, and margin trading can amplify both gains and losses and may be unsuitable for some investors. By using this site, you acknowledge that you are solely responsible for any trading or investment choices you make and agree to hold Axion Algo, its owners, contributors, and affiliates harmless for any direct or consequential losses.

Legal Relationship: No fiduciary, advisory, broker-dealer, or agency relationship is created by your use of this site. Any dispute shall be governed by and construed in accordance with the laws of the State of Delaware, USA, and subject to the exclusive jurisdiction of its courts.

Section 2 - Services and Membership Plans

Service Description: Axion Algo is a software-as-a-service (SaaS) platform that provides a trading indicator for use on the TradingView charting platform. Our service is offered through tiered subscription memberships that grant you access to our proprietary trading indicator and related features. The Axion Algo indicator uses advanced algorithms and AI to assist users in technical analysis; it is provided as an invite-only indicator on TradingView.

2.1 - Service Availability and Restrictions

Geographic Restrictions: The Service is not available in the following jurisdictions:

  • Countries or regions subject to comprehensive U.S. sanctions (including but not limited to Crimea, Cuba, Iran, North Korea, Syria, and Sudan)
  • Any jurisdiction where the Service would violate local laws or regulations
  • Any jurisdiction subject to OFAC sanctions or EU restrictive measures

By using the Service, you represent and warrant that you are not located in, under the control of, or a national or resident of any restricted jurisdiction. We reserve the right to verify user location and restrict or terminate access from prohibited regions.

2.2 - EU Consumer Rights

Right of Withdrawal (EU/EEA Users): If you are a consumer residing in the European Union or European Economic Area, you have the right to withdraw from this contract within 14 days without giving any reason. However, please note:

  • The withdrawal period expires 14 days after subscription activation.
  • By requesting immediate access to the Service, you expressly consent to begin performance before the withdrawal period expires.
  • You acknowledge that you will lose your right of withdrawal once the Service has been fully performed (i.e., full access granted to the indicator and materials).
  • If you exercise your right of withdrawal before full performance, you shall pay an amount proportional to the services provided until withdrawal notification.

To exercise your right of withdrawal: Send an unequivocal statement (e.g., email) to our contact form. You may use the model withdrawal form available in our Help Center, but it is not obligatory.

2.3 - Membership Tiers

Membership Tiers: Axion Algo offers three subscription plans: STARTER, PREMIUM, and INSTITUTIONAL. Each plan provides different levels of access and benefits, as described below:

  • STARTER: Provides personal access to the core Axion Algo trading indicator on TradingView with a basic set of presets or features. This tier is designed for individual educational use of the primary indicator. (Starter members may not have access to all advanced presets or additional services available in higher tiers.)
  • PREMIUM: Includes everything in Starter, and additionally unlocks access to all indicator presets and settings. Premium members can utilize the full range of Axion Algo's built-in presets (including any advanced or configurations) for a more customizable trading experience. This plan is intended for users who want the complete feature set of the Axion Algo indicator.
  • INSTITUTIONAL: Includes all features of the Premium tier (full indicator with all presets) plus exclusive INSTITUTIONAL benefits. INSTITUTIONAL members receive the highest level of service, which currently includes:
    • Private Community Access: Entry into members-only Discord and Telegram groups for Axion Algo INSTITUTIONAL subscribers. In these private channels, INSTITUTIONAL users can share insights, get updates, and interact with the Axion Algo team and community.
    • Direct Support: Priority one-on-one support via Telegram or other direct messaging. INSTITUTIONAL members have direct access to our support staff or analysts for quick assistance and guidance.
    • Personalized Presets: Up to three (3) personalized "ultra-presets" per month. These ultra-presets are custom-tailored indicator settings or configurations created specifically for the INSTITUTIONAL member upon request, to suit their strategy or asset of interest.
    • Monthly Consultation: One monthly one-on-one strategy consultation (e.g., via voice or video call). During this session, a member of our team will discuss the user's trading strategy, answer questions about using Axion Algo effectively, and provide educational guidance.

Only the Premium and INSTITUTIONAL plans include all indicator presets and full functionality. The INSTITUTIONAL plan offers additional personalized and interactive services as listed. All memberships are provided on a personal, non-transferable basis (i.e., only the subscribed individual may use the service features associated with their account).

Plan Changes: We reserve the right to modify the specific features, presets, or benefits included in each membership tier. We may add, remove, or change functionalities or benefits from time to time as we improve our services. Any material changes to what a subscription tier includes will be reflected on our website or communicated to subscribers. Your continued use of the service after changes in plan features constitutes acceptance of those changes.

To access Axion Algo's indicator, you will need a TradingView account (free or paid, as supported by TradingView). Certain INSTITUTIONAL features require accounts on third-party platforms (e.g., Discord, Telegram). It is your responsibility to have and maintain the necessary third-party accounts and a reliable internet connection to use the service.

2.4 - Performance Disclosures and Testimonials

Hypothetical Performance

CFTC RULE 4.41 - HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING. ALSO, SINCE THE TRADES HAVE NOT BEEN EXECUTED, THE RESULTS MAY HAVE UNDER-OR-OVER COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS, SUCH AS LACK OF LIQUIDITY. SIMULATED TRADING PROGRAMS IN GENERAL ARE ALSO SUBJECT TO THE FACT THAT THEY ARE DESIGNED WITH THE BENEFIT OF HINDSIGHT. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFIT OR LOSSES SIMILAR TO THOSE SHOWN.

Any backtesting results, historical performance data, or simulated trading scenarios shown in our Service:

  • Are provided for educational purposes only
  • Do not represent actual trading or market conditions
  • May not account for fees, slippage, or market impact
  • Should not be relied upon as indicative of future performance

Testimonials and User Reviews

When we share testimonials, user reviews, or trading results from our community members:

  • These experiences are individual and not representative of all users
  • Results shown are not typical and may be exceptional cases
  • We clearly indicate if any compensation was provided for the testimonial
  • Past success does not guarantee future results
  • Individual outcomes depend on numerous variables including market knowledge, discipline, and prevailing conditions

Verification of Results: Axion Algo does not verify or audit the trading results claimed in user testimonials. We cannot confirm whether users sharing their experiences have actually achieved the profits or losses they claim. As a provider of technical analysis tools, we do not track or verify actual trading performance of our users.

Marketing and Performance Claims

In our marketing materials and communications:

  • Any mention of specific profit percentages or win rates must be understood as hypothetical or simulated results
  • Performance metrics are always accompanied by the CFTC Rule 4.41 disclaimer
  • We do not make promises or guarantees about potential profits
  • We emphasize education and risk management over profit potential

Section 3 - Subscription Fees and Billing

Subscription Fees: By purchasing an Axion Algo membership (Starter, Premium, or INSTITUTIONAL), you agree to pay the subscription fees associated with that plan. All fees are stated in the currency indicated at checkout (e.g., USD) and are charged on a recurring monthly basis. The subscription fee covers a one-month access period to the service from the date of purchase (or activation) and will automatically renew each month unless canceled in advance (see Section 4 on Cancellation).

Auto-Renewal: Axion Algo subscriptions are set to auto-renew by default. This means that at the end of each monthly subscription period, your subscription will automatically renew for an additional month, and your provided payment method will be charged the then-current membership fee, unless you cancel the subscription prior to the renewal date. By subscribing, you authorize Axion Algo (and our third-party payment processor, Stripe) to charge your selected payment method on a recurring monthly schedule for the subscription fee, until you cancel.

Payment Processor: All payments are handled securely by Stripe, our third-party payment processor. When you provide payment information (such as credit or debit card details) at sign-up, those details are transmitted directly to Stripe. Axion Algo does not store your full credit card number or bank information on our servers. Stripe will process the recurring charges on our behalf. By subscribing, you agree to abide by Stripe's Terms and Conditions and understand that your payments are subject to Stripe's policies. We are not responsible for any errors or security breaches on the part of the payment processor, though we strive to use reputable and secure payment services.

Billing Date: Your billing cycle begins on the date you first subscribe. For example, if you subscribe on the 10th of a month, your subscription will renew on the 10th of each subsequent month (unless that date does not occur in a given month, in which case it might renew on the last day of the month). The renewal charge will occur on that billing date. You are responsible for ensuring that your payment method is valid and up-to-date at the time of each renewal.

Failed Payments: If a recurring payment is declined or cannot be processed (due to expiration of card, insufficient funds, or any other reason), we may attempt to re-process the payment within a short period. If the payment remains unsuccessful, we reserve the right to suspend or terminate your access to the Axion Algo service until payment is received. It is your responsibility to resolve any payment issues (e.g., update your card details) to continue enjoying uninterrupted service. We will attempt to notify you (e.g., via email) if a payment fails, providing instructions on how to update your payment information.

Price Changes: Axion Algo may modify the subscription fees for any of the membership tiers in the future. Any price change will be communicated to current subscribers with reasonable advance notice (for example, via email or posted on our website). Fee changes will only apply to subsequent billing cycles; if you do not agree to a fee change, you must cancel your subscription before the new rate takes effect. Continuing to use the service after a price change constitutes acceptance of the new pricing.

All fees paid to Axion Algo are exclusive of any taxes, levies, or duties (such as sales tax or VAT) that may apply in your jurisdiction. If any such taxes are applicable, you are responsible for paying them as required by law (except for taxes on our income). We will collect taxes if and as required by law and remit them to the authorities, but ultimate responsibility lies with you to comply with tax laws in your location.

Section 4 - Cancellation and Termination

Cancellation by You (Subscriber Cancellation): You have the right to cancel your Axion Algo subscription at any time. There are no long-term contracts or commitments beyond the current billing period. You may cancel for any reason, through the following methods:

  • Self-Service Cancellation: Use the Stripe customer portal or account management link provided at the time of purchase (or in your subscription confirmation email) to manage your subscription. Through that portal, you can cancel your subscription so that it will not renew for the next period. Instructions for accessing the Stripe billing portal may be provided on our website or you can request them via our support email.
  • Contacting Support: If you have any difficulty with the online cancellation process, you may cancel by contacting us at our support email (provided in Section 26). We will provide assistance or process the cancellation for you as needed.

When you cancel, your subscription will remain active until the end of your current paid billing period. Cancellation stops future auto-renewal charges; however, you will not receive a refund for the current billing cycle except in the case of an approved refund under our Refund Policy (see Section 5). After canceling, you will continue to have access to the Axion Algo service (and indicator) until your already-paid subscription period expires. At the end of that period, your access to the Axion Algo indicator and any member benefits will be terminated.

There are no penalties or additional fees for canceling; you can simply choose not to renew. Please note that uninstalling the indicator or leaving the Discord/Telegram groups will not automatically cancel your billing – you must follow the proper cancellation steps described above to stop the recurring charges.

Termination or Suspension by Axion Algo: We reserve the right to suspend or terminate your access to Axion Algo (including your membership and all services) at our sole discretion, at any time and without prior notice, if we determine that you have violated these Terms or engaged in behavior that is unlawful, abusive, or that harms the rights or safety of Axion Algo, our community, or others. This includes, but is not limited to: sharing your account login with non-subscribers, attempting to reverse engineer or steal our proprietary code, reselling or redistributing our content, engaging in harassment or illegal activities in our community channels, or any other breach of the Terms outlined herein.

If we terminate your account due to a violation of the Terms or improper conduct, you will not be entitled to any refund of fees already paid. In serious cases (for example, fraud or abuse), we may also ban you from re-registering for our service in the future and/or take appropriate legal action.

Effect of Termination: Upon termination or expiration of your subscription for any reason, your rights to access the Axion Algo indicator and any member-only content or communities will cease. You must immediately stop using any part of the service that is no longer authorized. Any provisions of these Terms which by their nature should survive termination (such as intellectual property rights, disclaimers, and liability limitations) will remain in effect.

Axion Algo may also terminate the service or a portion of the service (such as discontinuing the development or support of the indicator) at its discretion. If we decide to discontinue the Axion Algo service entirely, we will endeavor to provide notice to active subscribers. In such an event, we may provide a prorated refund for any remaining time on your subscription, but this decision will be at our discretion and according to the circumstances.

Section 5 - Refund Policy

First-Month Satisfaction Guarantee: Axion Algo offers a one-time refund for your first month's subscription fee if you are not satisfied with the service or are unable to use it effectively, subject to the terms below. This policy is designed to allow new users to try Axion Algo essentially risk-free for the first 30 days.

  • You are eligible for a refund of your initial subscription payment only if you request it within 30 days of your first purchase date. For example, if you signed up on the 1st of the month, you must request a refund by the 31st of that same month.
  • This refund policy applies only to your first subscription with Axion Algo (i.e., the first time you pay for a membership). If you cancel and later re-subscribe, or if you subscribe to a different tier later, those subsequent purchases will not be covered under this first-month refund guarantee.

How to Request a Refund: To initiate a refund request, you must contact us by email at our support address (see Section 26: Contact Information). Please include your account information (the email you used to sign up, and/or the Transaction ID if available) and the reason you are requesting a refund. We may ask for feedback regarding your experience (to help us improve), but your refund is not contingent on providing detailed reasons—any dissatisfaction or inability to use the service effectively is sufficient grounds for the first-month refund.

Once we receive your refund request, we will review your account eligibility. We aim to respond to refund requests promptly (typically within 1-3 business days). If your request is approved, we will process the refund to the original payment method you used. Please note that once processed on our end, it may take additional time (typically 3-5 business days, depending on your bank or card issuer) for the refunded amount to appear in your account.

Limitations:

  • The first-month refund can only be claimed once per customer. If you have already received a refund from Axion Algo for a prior subscription, we reserve the right to deny additional refund requests.
  • Beyond the first 30 days of your initial subscription, all sales are final. This means we do not offer refunds for renewal charges, mid-month cancellations, unused time, or any other circumstance outside the first-month guarantee. For example, if you forget to cancel before your renewal date and are charged for a new month, or if you only used the service for a few days out of the month, you will generally not be eligible for a refund of that charge. It is your responsibility to manage or cancel your subscription timely if you do not wish to continue.
  • We do not offer partial refunds or pro-rated refunds for downgrades. If you upgrade from one tier to another and then change your mind, contact support to discuss options; however, standard policy is that the upgrade charge is not refundable (aside from the first-month rule if it was your first purchase).
  • If you have violated these Terms or engaged in misuse of the service, and we terminate your account, you are not eligible for a refund (even if it is within the first 30 days). The satisfaction guarantee assumes good faith use of the service.

Exceptional Circumstances: In certain exceptional cases (for instance, a proven billing error, or extraordinary personal circumstances), we may, at our sole discretion, provide a refund or credit outside of the standard policy. However, this is not guaranteed and will be determined on a case-by-case basis. Our general stance is to be fair but also to protect our service from abuse.

By subscribing to Axion Algo, you acknowledge and accept this refund policy. If you are unsure about the service, we encourage you to utilize the first-month period to evaluate Axion Algo and make a timely decision on whether it meets your needs.

Section 6 - Intellectual Property Rights and Ownership

All content, software, technology, and materials provided through Axion Algo are protected by intellectual property laws and remain the property of Axion Algo and/or its licensors. This includes, but is not limited to: the Axion Algo trading indicator's code and algorithm, all default and custom presets (including any settings and the "ultra-presets" created for INSTITUTIONAL members), any scripts or tools, our website content, logos and branding, instructional materials, and any other text, graphics, or multimedia content we provide. All rights are reserved by the owner (Axion Algo or the respective rights holder).

By subscribing to Axion Algo, you are not purchasing the software or any intellectual property – instead, you are being granted a limited, revocable license to access and use our proprietary indicator and content for your own personal, non-commercial, and educational use in accordance with these Terms. Nothing in these Terms will be interpreted as a transfer of ownership of any intellectual property to you.

License Restrictions: Except as explicitly permitted by Axion Algo in writing, you must not do any of the following:

  • Copy, reproduce, or distribute our indicator's source code, any underlying algorithms, or any content from our service. You are not allowed to save, export, or share the code or any part of the indicator's logic. (Note: The Axion Algo indicator is provided as a secure, access-controlled script on TradingView; any attempt to extract or decipher the source code is prohibited.)
  • Share or resell Axion Algo presets, signals, or other content to others. This means you cannot take the alerts or outputs from our indicator and redistribute them as a paid service or free resource to non-subscribers without permission. All signals, analyses, and content derived from Axion Algo are for your personal use only.
  • Modify, create derivative works from, or reverse-engineer our software or materials. You may not attempt to circumvent any encryption, security measures, or technical protections on our indicator. Any form of decompiling, decoding, or tampering with the Axion Algo code or features is strictly forbidden.
  • Publicly display or perform our content beyond the scope of personal use. For instance, you should not live-stream or post screenshots that reveal significant portions of Axion Algo's proprietary signals or interface, especially in a way that substitutes for others needing a subscription. (Incidental sharing of a chart image with Axion Algo indicators visible is acceptable for discussion purposes, but systematic publication of our indicator's output is not.)
  • Use Axion Algo's intellectual property (including our name, logo, or any content) in a manner that suggests an association, endorsement, or partnership without our prior written consent.

Any feedback, suggestions, or ideas that you voluntarily provide to Axion Algo (for example, improvement suggestions or bug reports) will not be confidential and become our property. We may use and incorporate such feedback without any obligation to you (and you are not entitled to any compensation or attribution for any improvements based on your feedback).

Remember that even personalized configurations (like the INSTITUTIONAL ultra-presets we create for you) are based on our underlying technology and know-how; they are part of our service to you and do not become your property. We grant the INSTITUTIONAL user a personal license to use those custom presets, but the presets themselves (and any code underlying them) remain owned by Axion Algo.

Section 7 - Trademarks and Branding

"Axion Algo" and our associated logos, graphics, slogans, and service names are trademarks or service marks of our service (even if not formally registered). You are not permitted to use, display, or modify these trademarks without our prior written consent. This includes using the Axion Algo name or logo in any product, service, or marketing material that is not officially from us. Unauthorized use of our brand may constitute infringement of our rights.

All third-party names, logos, product names, or trademarks mentioned in relation to Axion Algo or used within the service are the property of their respective owners. For example:

  • TradingView®: TradingView is a registered trademark of TradingView, Inc. Axion Algo's tools are built to be used on the TradingView platform, but TradingView is a separate entity and is not affiliated with or endorsing Axion Algo. We do not have any ownership of TradingView's name or trademarks.
  • Discord & Telegram: Discord is a trademark of Discord Inc., and Telegram is a trademark of Telegram Messenger LLP. Our service integrates with these platforms for community groups and support, but those brands are owned by their respective companies with no affiliation or endorsement of Axion Algo.
  • Stripe: Stripe is a trademark of Stripe, Inc., used here to indicate our payment processor. Stripe is not affiliated with Axion Algo apart from providing payment services.

Any references in our service or materials to third-party products or services are for informational purposes and do not imply sponsorship or endorsement by those third parties. You must not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices on any content or materials obtained via Axion Algo.

Section 8 - Prohibited Uses

In addition to all other rules and obligations described in these Terms, you expressly agree that you will not use Axion Algo (including our website, indicator, content, or any portion of our services) for any of the following prohibited purposes or activities:

  • (a) To engage in any unlawful purpose or activity, or to solicit others to participate in any unlawful acts. You must comply with all applicable laws and regulations while using our service.
  • (b) To violate or circumvent any international, federal, state, provincial, or local laws or regulations, including securities laws, trading regulations, data protection laws, or any rules having the force of law.
  • (c) To infringe upon or violate our intellectual property rights or the rights of others. This includes unauthorized use of copyrighted material, trademarks, trade secrets, or other proprietary content belonging to Axion Algo or any third party.
  • (d) To share, resell, or redistribute the service or its content to non-subscribers. For example, you may not share your Axion Algo account login with anyone else, publish our indicator's signals in a public forum, or incorporate our tools into a product or service you provide to others. Sharing your credentials or allowing others to access the service through your account is strictly prohibited.
  • (e) To submit false or misleading information to Axion Algo or other users. This includes fraudulent account details, payment information, or any form of impersonation or misrepresentation of your identity.
  • (f) To harass, abuse, insult, harm, or intimidate any person, or to discriminate against any individual or group based on factors such as gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability. Hate speech, threats, and personal attacks have no place in our community (including Discord/Telegram groups) or service.
  • (g) To upload, transmit, or introduce any malicious code such as viruses, worms, spyware, or any code of a destructive nature that could affect the functionality of Axion Algo's software, website, or any related platform (including TradingView, Discord, etc.), or the Internet in general.

  • (k) To interfere with or circumvent any security features of our Service, website, or related platforms. You must not attempt to disable, hack, or evade any protections we have put in place to secure the service or protect our intellectual property and user data.
  • (l) To forge headers or otherwise manipulate identifiers in messages or posts on our platforms, in an attempt to disguise the origin of any content transmitted through the Service. In short, you may not impersonate Axion Algo personnel or other users, or falsify the source of information.
  • (m) To "frame" or "mirror" any part of the Service or website on any other server or device without our prior written authorization. Also, you may not use meta tags or any other "hidden text" using our name or trademark without our express consent.
  • (n) To modify, adapt, translate, reverse-engineer, decompile, or disassemble any portion of the Axion Algo Service, including the indicator's software code or any software used on or for our website. (As noted, any attempt to extract source code or create derivative works of our software is strictly forbidden.)
  • (o) To attempt to gain unauthorized access to any part of the Service, our servers, or any related systems or networks. This includes any effort to probe, scan, or test the vulnerability of our systems or to breach authentication measures.
  • (p) To deliberately interfere with the normal operation of the Service or any other users' use and enjoyment of Axion Algo. This could include actions that overload the infrastructure, launch denial-of-service attacks, or otherwise disrupt our services or the related third-party platforms we rely on.

This list of prohibited uses is intended to be comprehensive. However, any conduct that is similar in nature to the examples above, or that is clearly against the spirit of Axion Algo's Terms and the integrity of our service, may also result in suspension or termination of your access (as outlined in Section 4).

Enforcement: We reserve the right to investigate any suspected breaches of this Section 8 or any misuse of our Service. If we determine, in our sole discretion, that you have engaged in a prohibited use, we may take action including terminating your account immediately, and/or cooperating with law enforcement or third-party affected entities in any investigation. You agree that Axion Algo is not liable for any consequences (such as loss of access or loss of data) that you may incur due to enforcement of these rules.

Section 9 - Risk Disclosure and No Financial Advice

Trading and Investment Risk: By using Axion Algo, you acknowledge and agree that trading in financial markets (whether stocks, cryptocurrencies, forex, commodities, or any other assets) is inherently risky. You can lose some or all of your invested capital. Axion Algo's indicator and content are tools for technical analysis and education, but they do not eliminate the risk in trading. Markets can be volatile and unpredictable; past performance of any strategy or indicator is not a guarantee of future results. No Guarantee of Results: Axion Algo makes no promises or guarantees that you will achieve any particular outcome or profit by using our indicators or following any suggestions derived from our Service. Section 10 - Disclaimer of Warranties; Limitation of Liability

To the fullest extent permitted by law, we disclaim all warranties of any kind (express or implied) regarding the service. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that might arise from a course of dealing or usage of trade. We do not guarantee, represent, or warrant that:

  • The Axion Algo service (including our website and indicator) will meet all of your expectations or requirements.
  • Your use of the service will be uninterrupted, timely, secure, or error-free. We do not warrant that the service will always be available or that it will be free from technical glitches or errors. Platform outages or maintenance, whether on our side or on third-party services like TradingView/Discord/Telegram, may occur.
  • Any errors or defects in the service will be corrected promptly. We strive to fix bugs and issues, but we make no guarantees as to the timeframe or possibility of fixing any particular problem.
  • The data or content provided is accurate, complete, or current. While we aim to provide useful and accurate information, Axion Algo does not warrant or make any guarantee that the information available through our service (such as indicator signals, market data from TradingView, or educational content) is free of mistakes or omissions. All information is provided for general use and should not be relied upon as the sole basis for making decisions without consulting primary, more accurate sources of information.

User's Responsibility: You assume all responsibility for your use of the service. You understand that internet and technology risks are inherent – Axion Algo cannot guarantee that files or data you download from our service (if any) will be free of viruses, malware, or harmful components. It is your responsibility to use up-to-date antivirus software, secure your devices, and maintain backups of any important data. Likewise, you are responsible for ensuring your TradingView account or other relevant accounts are secure and that you manage any data (like custom indicator settings or alert configurations) that you use in conjunction with Axion Algo.

No Liability for Indirect Damages: To the maximum extent permitted by applicable law, Axion Algo and its operators, owners, employees, affiliates, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever. This includes, without limitation: losses of profit, revenue, or income; lost trading opportunities; loss of data; business interruption; or emotional distress arising from or related to your use of (or inability to use) Axion Algo. These limitations apply even if we have been advised of the possibility of such damages. Axion Algo is a tool to aid your analysis; we cannot be responsible for how you interpret or act on the information.

Limitation of Direct Damages: In all cases, Axion Algo's aggregate liability for any claim arising out of or relating to the service shall not exceed the total amount of subscription fees you paid to us in the 12 months immediately preceding the event giving rise to the claim. For example, if you have paid $50 per month for the last year, our liability to you would be capped at $600. If you have been subscribed for less than 12 months, then the cap is the sum total of what you have paid so far. This limitation applies to any and all claims, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory.

Specific Matters: Without limiting the generality of the above, you specifically acknowledge:

  • Financial Loss: Axion Algo is not liable for any of your financial losses or damages. Any money you lose trading or any missed profits are solely your responsibility.
  • Third-Party Platforms: Axion Algo relies on third-party platforms and services (such as TradingView for charting and indicator access, Discord/Telegram for community and support, Stripe for payments). We have no control over these services, and therefore we are not liable for outages, downtime, or any performance issues on those platforms. For instance, if TradingView's platform suffers an outage or bug that prevents access to the Axion Algo indicator, that situation is beyond our control and we cannot be held responsible for any impact it has on you (even if it results in missed trading opportunities or signals). Similarly, if our Discord or Telegram groups are unavailable or if Stripe experiences payment processing issues, our liability is disclaimed.
  • Data Accuracy: We source market data (price feeds, etc.) from TradingView or other providers. We do not guarantee that these data are accurate or real-time. Axion Algo is not responsible for errors or delays in data provided by third parties. Any trading or decisions based on erroneous data are at your risk.
  • User Decisions: You are solely responsible for the decisions you make based on information from Axion Algo. We do not control and are not responsible for what you do with the information. If you misunderstand a feature or if you execute a trade incorrectly, Axion Algo is not liable for any consequences.
  • Service Availability: From time to time, we may need to take the service offline for maintenance or updates, or unexpected technical issues might occur. While we aim for high availability, we do not guarantee 100% uptime. Any downtime or unavailability of the service does not constitute a breach of these Terms, and Axion Algo will not be liable for any losses incurred during such periods.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation/exclusion of liability for certain types of damages. In such jurisdictions, some of the above disclaimers and limitations may not apply to you to the extent disallowed by applicable law. However, in any such case, Axion Algo's liability will be limited to the fullest extent permitted by law.

By using the service, you agree that the foregoing disclaimers and limitations of liability are fair and reasonable and that they form an essential basis of the bargain between you and Axion Algo. Without these limitations, the pricing of our service would likely be higher, and/or we might not offer the service.

Use of Third-Party Platforms: Axion Algo integrates with or utilizes several third-party services in delivering our product:

  • TradingView: Our trading indicator is accessed through the TradingView platform. To use Axion Algo, you must have a TradingView account and agree to TradingView's own Terms of Use and Privacy Policy. When you become an Axion Algo subscriber, we will ask for your TradingView username so that we can grant your account permission to use our invite-only indicator. TradingView, Inc. is a separate entity; any use of their platform is governed by their terms. Axion Algo has no control over TradingView's platform, data, or policies. We do not share more of your personal info with TradingView beyond what is needed (they will know that your account has access to our script, but they handle their own user data). Any outage or issue on TradingView's side is not under Axion Algo's control, and you should refer to TradingView for any concerns about their service.
  • Discord and Telegram: If you are a INSTITUTIONAL member (or if any plan includes community access), you may join our private Discord server or Telegram group. These are third-party messaging platforms. By using them, you are subject to Discord's and Telegram's respective Terms of Service and Privacy Policies. We do not control the privacy practices of those platforms. Note that messages or content you post in our community channels may be visible to other members; you should not share sensitive personal information in those forums. We expect members to also follow the community guidelines and rules of those platforms. Axion Algo is not liable for any data breach or misuse that occurs on Discord/Telegram's side. We also reserve the right to moderate or delete messages in our groups that violate our rules or these Terms.
  • Stripe (Payment Processing): All subscription payments are processed through Stripe. When you enter your payment details, you are interacting with Stripe's systems. Stripe will handle your payment information pursuant to their own security protocols and privacy policy. Axion Algo does not receive your full credit card number or bank account info; we receive a confirmation of payment and possibly a token or ID to reference your subscription. We may store basic billing information (like the last four digits of your card, card type, expiration date, and billing name) for record-keeping and support, but full payment processing is done by Stripe. By paying for Axion Algo, you are also agreeing to Stripe's terms and conditions. We are not responsible for errors caused by Stripe, but we will reasonably assist in resolving billing issues that involve our interface with Stripe.

Third-Party Links: Our website or communications may include links to third-party websites or services (for example, references to articles, partner tools, or social media pages). These external sites are not operated by Axion Algo.   • Your use of the Service: This includes any content you share or actions you take through the Service. For example, if you use Axion Algo in a manner that infringes someone's intellectual property and that person sues Axion Algo, or if you share defamatory or illegal material via our platform, you agree to cover any losses or legal fees incurred by the Axion Algo Parties as a result.

In that case, you agree to cooperate with our defense of such claim. You shall not settle any such claim or matter without the prior written consent of Axion Algo if the settlement would require admission of fault by Axion Algo or impose any obligation on Axion Algo not expressly covered by your indemnification.

This indemnification obligation will survive the termination or expiration of your subscription and use of the Service. (In plain language: even if you stop using Axion Algo, you could still owe us indemnity for issues that arose while you were a user.)

Continued Use Constitutes Acceptance: By continuing to use the Axion Algo service after any changes to the Terms are posted, you are agreeing to be bound by the revised Terms. If you do not agree with any updated Terms, you must stop using the service and, if applicable, cancel your subscription. Do not continue to use Axion Algo if you object to any changes in the Terms.

No amendment or modification to these Terms will be binding unless posted or made by Axion Algo as described above. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service, per the limitations already described.

Section 14 - Legal Status and Dispute Resolution

Important: Axion Algo is not a registered company or incorporated legal entity. It is an unincorporated online service. References to "Axion Algo," "we," or "us" in these Terms refer to the service and its operator, and not to a legally registered corporation.

By using this service, you acknowledge and agree that you are engaging with an unincorporated entity. This means that traditional corporate protections and regulatory oversight may not apply. You accept this arrangement and agree to resolve any disputes through direct communication with the service operator.

Section 15 - DMCA Copyright Policy & Notice-and-Takedown Procedure

Axion Algo respects the intellectual-property rights of others and complies with the U.S. Digital Millennium Copyright Act (17 U.S.C. §512) and equivalent international copyright legislation. If you believe that material accessible on or through our Service infringes your copyright, you may submit a written notification to our designated agent containing the following information (a “DMCA Notice”):

  • A physical or electronic signature of the copyright owner (or a person authorised to act on their behalf).
  • Identification of the copyrighted work claimed to have been infringed.
  • Identification of the material that is claimed to be infringing, with information reasonably sufficient to permit us to locate it (URL, screenshot, indicator ID, Discord message link, etc.).
  • Your contact information: full name, mailing address, telephone number and e-mail.
  • A statement that you have a good-faith belief that the disputed use is not authorised by the copyright owner, its agent, or the law.
  • A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorised to act on the owner's behalf.

DMCA Notices must be sent to our contact form with the subject line “DMCA Notice”. Misrepresenting that material is infringing may subject you to liability for damages, including costs and attorneys' fees, under 17 U.S.C. §512(f).

Counter-Notice: If material you posted was removed because of a DMCA Notice and you believe the removal was a mistake or misidentification, you may submit a counter-notice containing your contact information, identification of the removed material and its original location, a statement under penalty of perjury that you have a good-faith belief that the material was removed by mistake, and your consent to the jurisdiction of the federal court in the State of Delaware (or your local jurisdiction if outside the U.S.).

Repeat Infringers: We will terminate the accounts of users who are determined to be repeat infringers, in appropriate circumstances and at our discretion.

Section 16 - Binding Arbitration & Class Action Waiver

Please read this section carefully. It affects how disputes between you and Axion Algo are resolved. Except for disputes in which either party seeks equitable relief for alleged unlawful use of intellectual property, you and Axion Algo agree to resolve any and all claims arising out of or relating to these Terms or the Service through final and binding individual arbitration, rather than in court.

Arbitration rules: The arbitration will be conducted under the Commercial Arbitration Rules of the American Arbitration Association (AAA) for U.S.-resident users, or the International Chamber of Commerce (ICC) Rules for users outside the U.S., by a single neutral arbitrator. Hearings may be conducted remotely; the arbitrator may decide on a written record only if both parties agree. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

Class-action waiver: You and Axion Algo agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, mass, or representative action. The arbitrator may not consolidate the claims of more than one person, and may not preside over any form of representative or class proceeding.

30-day opt-out: You may opt out of this arbitration agreement by sending a written notice to our contact form with the subject line “Arbitration Opt-Out” within thirty (30) days of first agreeing to these Terms. The notice must include your name, the e-mail associated with your account, and a clear statement that you wish to opt out. If you opt out, neither party will be bound by these arbitration provisions, and disputes will be resolved by the courts identified in Section 14.

Small-claims exception: Either party may bring a qualifying claim in a small-claims court of competent jurisdiction in lieu of arbitration, provided the dispute remains on an individual, non-class basis.

Severability of arbitration clauses: If any portion of this Section 16 is found to be unenforceable, the remainder of the section shall remain in effect, except that the class-action waiver is non-severable from the obligation to arbitrate; if the class-action waiver is found unenforceable, the entire arbitration agreement shall be null and void.

Section 17 - Force Majeure

Axion Algo will not be liable for any failure or delay in the performance of our obligations under these Terms caused by events beyond our reasonable control. Such events include but are not limited to: acts of God, natural disasters (earthquakes, floods, hurricanes, wildfires), pandemics or epidemics, war, terrorism, civil unrest, riots, government actions or sanctions, embargoes, labour disputes or strikes, power or telecommunications outages, internet failures, attacks on our infrastructure or third-party infrastructure (DDoS, ransomware, supply-chain attacks), failures of third-party services (including TradingView, Stripe, Supabase, Discord, Telegram and any cloud or CDN provider we rely on), regulatory changes affecting our ability to operate, or any other circumstance reasonably outside our control. During a force-majeure event, our performance obligations will be suspended for the duration of the event, and we will resume performance as soon as reasonably practicable.

Section 18 - Assignment, Notices, Severability, Survival & Waiver

Assignment: You may not assign, transfer, sublicense or delegate any of your rights or obligations under these Terms without our prior written consent, and any attempted assignment without such consent will be void. We may freely assign or transfer these Terms and our rights and obligations to any successor in interest, in connection with a merger, acquisition, sale of assets, reorganisation, or by operation of law, without notice to you.

Notices to you: We may give notice to you by e-mail to the address associated with your account, by SMS (if a phone number is on file and the message relates to security or fraud), or by posting a notice on the Service. Notices we deliver electronically are effective on the date of transmission.

Notices to us: Any notice you must give us under these Terms must be sent to our contact form and will be effective on receipt. Notices regarding arbitration, DMCA, or formal legal process must follow the specific instructions in those sections.

Severability: If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction or arbitrator, the remaining provisions of these Terms will remain in full force and effect. The invalid provision will be modified by the court or arbitrator to most closely reflect the parties' original intent.

Survival: Sections of these Terms that by their nature should survive termination shall survive, including but not limited to: Sections 1.1 (Risk Disclosure), 6 (Intellectual Property), 8 (Prohibited Uses), 9 (Risk & No Financial Advice), 10 (Disclaimers & Limitation of Liability), 11 (Privacy), 12 (Indemnification), 15 (DMCA), 16 (Arbitration), 17 (Force Majeure), and this Section 18.

No waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. Waiver of any provision will be effective only if in writing and signed by an authorised representative of Axion Algo.

Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.

Governing language: These Terms are written in English. If we provide a translation in another language for convenience, the English version will control in the event of any inconsistency or interpretive question.

Entire agreement: These Terms, together with our Privacy Policy, Cookie Policy, Disclaimer, Email Policy, Privacy Rights Request procedure and any plan-specific terms presented at checkout, constitute the entire agreement between you and Axion Algo regarding the Service and supersede all prior agreements and understandings.

Order of precedence: In the event of a conflict between these Terms and any other document referenced herein, these Terms will control unless the other document expressly states that it supersedes a specific provision.

Section 19 - Beta Features, Experimental Releases & No SLA

From time to time, Axion Algo may offer beta indicators, experimental presets, alpha features, early-access tools, or unreleased Pine scripts (collectively, “Beta Features”). Beta Features are provided strictly on an “as-is, where-is” basis, without warranty of any kind, and may be modified, discontinued, or have their functionality altered at any time without notice. By using a Beta Feature you accept that it may contain bugs, generate unreliable signals, or fail entirely, and that Axion Algo bears no liability for any consequence of its use. We may collect additional diagnostic data while you use a Beta Feature, and you may be subject to additional confidentiality obligations regarding the feature.

No service-level agreement (SLA): Unless we have executed a separate written SLA with you, the Service is provided without any guaranteed uptime, response time, or service-credit regime. We aim for reasonable availability but do not commit to specific numeric thresholds. Outages on TradingView, Discord, Telegram, Stripe, Supabase or any other third-party platform are outside our control.

Section 20 - Affiliate Program Terms

If you participate in our Affiliate Program, the following additional terms apply, in addition to all other provisions of these Terms:

  • Eligibility: You must be 18 years or older, have a valid PayPal e-mail for payouts, and not reside in a sanctioned jurisdiction (see Section 2.1).
  • Commission: 25% recurring commission on each qualifying paid subscription you refer, for as long as the referred customer remains an active paying subscriber and the commission has not been reversed for refund, chargeback, dispute, or fraud.
  • Cookie window: Attribution is based on a 60-day first-touch cookie. The last affiliate cookie at the time of paid signup wins. We reserve the right to override attribution in case of fraud or self-referrals.
  • Prohibited promotion: No spam, cookie stuffing, paid-search bidding on our trademark, brand misrepresentation, impersonating Axion Algo, promising specific returns to your audience, running unauthorised paid ads, or buying our product through your own affiliate link (self-referrals).
  • Compliance: You must comply with the FTC Endorsement Guides (and equivalent in your jurisdiction) and disclose your affiliate relationship clearly when promoting Axion Algo. You may not represent yourself as an employee, partner, or official spokesperson of Axion Algo.
  • Payouts: Commissions accrue monthly and are paid approximately 30 days after the end of the calendar month in which the underlying subscription payment cleared, after applying refund and chargeback reversal periods. Minimum payout threshold: USD 50. Unclaimed balances remain on your affiliate account.
  • Tax responsibility: You are solely responsible for any taxes owed on commissions. We may request a W-9, W-8BEN or equivalent form before issuing payouts.
  • Termination: We may terminate any affiliate account at any time for any reason, including for breach of these Terms, the FTC Guides, applicable law, or for harm to our brand. Termination forfeits unvested commissions.

Section 21 - Anti-Money Laundering, Sanctions & Fraud Prevention

Axion Algo is a software service and does not process funds on your behalf, custody assets, or facilitate trading. However, we will not knowingly accept payment from, or grant access to, individuals or entities on the OFAC Specially Designated Nationals list, the EU consolidated sanctions list, the UK HM Treasury sanctions list, the UN sanctions list, or any equivalent published sanctions list. You represent and warrant that you are not on any such list, are not acting on behalf of any such person, and are not located in a sanctioned jurisdiction (see Section 2.1).

We use third-party tools (Stripe Radar, IP geolocation, device fingerprinting) to detect and prevent fraudulent transactions, chargeback abuse, multi-account abuse and unauthorised resale. If we suspect fraud or sanctions risk, we may refuse a transaction, suspend the account pending investigation, freeze affiliate balances, and where required by law report the matter to the relevant authorities.

Section 22 - User-Generated Content in Community Channels

Our Discord and Telegram communities, support tickets, blog comments (if any), survey responses, testimonials submitted to us, and any other communications you direct to or post in spaces operated by Axion Algo constitute “User Content”.

Licence: You retain ownership of your User Content. By submitting it, you grant Axion Algo a worldwide, royalty-free, non-exclusive, sublicensable licence to host, store, reproduce, display, distribute, adapt and use the User Content for purposes related to operating, marketing and improving the Service (including the right to anonymise it and use it in case studies, marketing material, or aggregate analytics).

Representations: You represent that (a) you have all rights necessary to grant this licence; (b) the User Content does not infringe third-party rights, defame anyone, violate privacy laws, or violate any other applicable law; (c) the User Content is not misleading or designed to manipulate other users.

Moderation: We reserve the right (but assume no obligation) to monitor, review, edit, remove or refuse to display any User Content at our discretion, including for violations of Section 8 (Prohibited Uses), our community rules, or this Section. Repeated violations may result in suspension or termination of your community access without refund.

Section 23 - Open-Source Components & Third-Party Licences

The Service incorporates open-source software (OSS) and third-party libraries, each subject to its respective licence (e.g., MIT, Apache 2.0, BSD, ISC, MPL 2.0, AGPL). Use of these components is permitted only in accordance with their licences. A list of OSS components and their attributions is available on request by emailing our contact form. Nothing in these Terms is intended to override any OSS licence; in case of conflict between these Terms and an OSS licence as it applies to a specific component, the OSS licence controls solely for that component.

Section 24 - Limitation Period & No Class Aggregation

To the maximum extent permitted by law, you agree that any claim arising out of or related to these Terms or the Service must be filed (whether in arbitration or court) within ONE (1) YEAR after the cause of action arose; otherwise, such claim is permanently barred. This is in addition to, not instead of, any statutory limitation period that may apply.

You agree not to aggregate, consolidate or class your claim with the claim of any other person, except as expressly permitted by these Terms. Any attempt to do so is null and void.

Section 25 - Independent Contractor & No Agency

Nothing in these Terms is intended to create a partnership, joint venture, agency, fiduciary, employment, broker-dealer, advisory or any other relationship between you and Axion Algo other than the independent contractual relationship expressly described herein. Neither party has the authority to bind the other, to incur obligations on the other's behalf, or to act as the other's agent or representative.

Section 26 - Account Lifecycle in Detail

This Section describes the full lifecycle of an Axion Algo user account, from initial registration through eventual termination and post-termination data handling. It complements and clarifies Section 4 (Cancellation and Termination) with additional operational detail.

26.1 Registration: To create an Axion Algo account, you must provide a valid e-mail address, choose a password meeting our minimum security requirements (currently 8+ characters with at least one number and one symbol, subject to change), accept these Terms via the click-wrap "I agree" checkbox, and confirm you meet the eligibility requirements in Section 1. We may, at our discretion, require additional information at registration (such as country of residence for tax and sanctions purposes).

26.2 E-mail Verification: All new accounts must verify their e-mail address via the confirmation link we send at signup. Until verified, account features (including subscription purchase) may be disabled. Verification links expire 72 hours after issuance; you may request a new link from the login screen.

26.3 Profile Completion: Before access to the indicator is granted, you must complete your profile by providing your TradingView username (case-sensitive, exactly as it appears in your TradingView account settings). Errors in the TradingView username are the most common cause of access-grant failure; we strongly recommend copy-pasting rather than typing.

26.4 Grounds for Suspension: Axion Algo may suspend (temporarily block access to) your account, with or without prior notice, for any of the following: (i) non-payment or chargeback of a subscription invoice; (ii) breach of the Acceptable Use Policy (see Section 27); (iii) suspected fraud, identity misrepresentation, or payment-method theft; (iv) a match against any sanctions list (OFAC, EU, UK HMT, UN, or equivalent); (v) abusive, harassing, or threatening conduct toward Axion Algo staff or other users; (vi) suspected sharing of account credentials or indicator access with non-subscribers; (vii) any other conduct that materially impairs the Service or its users.

26.5 Reactivation Conditions: A suspended account may be reactivated upon: (i) curing the underlying issue (e.g., paying the outstanding balance plus any chargeback fee); (ii) satisfactory response to a written request for information; (iii) where applicable, completion of additional verification (e.g., identity document submission, sanctions re-screen). Reactivation is at our discretion and is not guaranteed.

26.6 Voluntary Termination by User: You may terminate your account at any time via the "Delete Account" control in the dashboard (one-click, with a confirmation prompt). Voluntary termination is immediate, cancels any active subscriptions (with no refund except as provided in Section 5), revokes indicator access on TradingView, removes you from private community channels, and queues your personal data for deletion per the schedule in Section 26.9.

26.7 Termination by Axion Algo: Axion may terminate your account with or without notice, depending on the underlying cause: (i) with 30 days' notice for convenience (e.g., discontinuation of the Service in your jurisdiction); (ii) without notice for material breach, sanctions match, fraud, or imminent safety/security risk. Termination notices, when given, will be sent to the e-mail address on file.

26.8 Data Export Window: Within 30 calendar days following termination (whether voluntary or involuntary), you may request a CSV export of: (a) your order and invoice history; (b) your indicator settings and saved configurations; (c) your billing history including payment-method last-four-digits and amounts. Export requests are submitted by emailing our contact form with the subject line "Data Export Request" and are fulfilled within 14 business days.

26.9 Data Deletion: A full data deletion request (erasing all personal data we hold about you, subject to legal retention requirements such as tax records under IRS / EU VAT rules) follows the Privacy Rights Request procedure described in the Privacy Policy. We retain anonymised, aggregated data indefinitely for analytics and product-improvement purposes; this aggregated data cannot be linked back to you.

Section 27 - Acceptable Use (Incorporated by Reference)

Your use of Axion Algo is also governed by our Acceptable Use Policy, published at /acceptable-use-policy, which is incorporated into these Terms by reference and forms an integral part of them. The Acceptable Use Policy sets out, in detail, the behavioural and technical standards required of all users, including but not limited to: prohibited content, prohibited automated activity, prohibited resale or redistribution, rate-limit compliance, community-channel conduct, and anti-abuse rules.

Breach of AUP is breach of these Terms. Any violation of the Acceptable Use Policy is automatically a material breach of these Terms and Conditions, entitling Axion Algo to invoke any of the suspension or termination remedies in Section 4 and Section 26, plus any other remedy available at law or equity. The order of precedence in Section 18 applies: in case of direct conflict between these Terms and the AUP, these Terms control unless the AUP expressly states it supersedes a specific provision.

You acknowledge that you have read, or have had reasonable opportunity to read, the Acceptable Use Policy before accepting these Terms. Continued use of the Service after the AUP is updated (the AUP carries its own "Last Updated" date) constitutes acceptance of the updated AUP.

Section 28 - API & Programmatic Access

No Public API. Axion Algo does NOT currently offer a public application-programming interface (API), webhook subscription service, FIX gateway, REST endpoint, GraphQL endpoint, or any other machine-to-machine programmatic access to the Service or its data. Any future API access will be governed by a separate written API Terms agreement, and may be subject to additional fees, rate limits, authentication requirements, and use restrictions.

Non-Display Usage Prohibited. Pending availability of a public API and an executed API Terms, "non-display usage" of any Axion Algo output is strictly prohibited. Non-display usage includes, without limitation: (i) programmatic ingestion of indicator signals into any system other than direct visual display on TradingView; (ii) scraping of the Axion Algo dashboard, indicator outputs, or website content; (iii) integration with automated trading bots (whether based on Axion signals alone or combined with other inputs); (iv) use of Axion outputs as training data, fine-tuning data, or input for any artificial-intelligence or machine-learning model; (v) machine-readable extraction by OCR, screen scraping, or browser automation; (vi) inclusion of Axion outputs in any derivative data feed, dataset, or analytics product. (Modeled on the TradingView non-display restriction.)

Rate Limits. Dashboard endpoints (e.g., login, order history, settings retrieval) are protected by per-user and per-IP rate limits. Limits are calibrated for ordinary interactive use; current thresholds may be retrieved by inspecting the standard X-RateLimit-Limit and X-RateLimit-Remaining response headers. Intentional triggering of rate limits, denial of service, distributed denial of service (DDoS), credential-stuffing, and brute-force attacks are material breaches and may, in addition to account termination, give rise to civil and criminal liability under the U.S. Computer Fraud and Abuse Act (18 U.S.C. § 1030), the UK Computer Misuse Act 1990, the EU Network and Information Security Directive 2 (NIS2), and equivalent local statutes.

Section 29 - DMCA & Copyright (Incorporated by Reference)

Our full Digital Millennium Copyright Act (17 U.S.C. § 512) policy, notice-and-takedown procedure, counter-notice procedure, repeat-infringer policy, designated-agent contact details, and equivalent international copyright procedures (UK CDPA 1988, EU Copyright Directive 2019/790, AU Copyright Act 1968, Canada Copyright Act, JP Copyright Act) are set out in the DMCA Policy published at /dmca-policy, which is incorporated into these Terms by reference.

Section 15 above sets out the minimum DMCA disclosure required within the Terms themselves; the standalone DMCA Policy provides the full operational detail (agent address, processing timelines, repeat-infringer threshold, takedown-fairness safeguards, etc.). In the event of any conflict between Section 15 and the standalone DMCA Policy, the standalone Policy controls because it contains the more specific procedure.

Section 30 - Indemnification (Mutual & Detailed)

This Section expands and supplements the indemnification framework introduced in Section 12. The provisions of Section 12 remain in force and are not displaced; this Section adds detail on mutuality, scope, and procedure.

30.1 Indemnification by User. You agree to indemnify, defend, and hold harmless Axion Algo and the Axion Algo Parties (as defined in Section 12) from and against any and all third-party claims, actions, suits, proceedings, demands, losses, liabilities, damages, awards, settlements, judgments, costs, and expenses (including reasonable attorneys' fees, expert-witness fees, and litigation costs) arising out of or relating to: (i) your breach of these Terms or the Acceptable Use Policy; (ii) your misuse of the Service; (iii) your violation of any law, regulation, ordinance, sanctions regime, or court/agency order; (iv) your infringement, misappropriation, or violation of any third-party right (including intellectual-property, privacy, publicity, contract, and tort rights); (v) your trading conduct, decisions, orders, executions, omissions, gains, losses, tax positions, or regulatory issues arising from or related to your use of Axion outputs.

30.2 Indemnification by Axion Algo. Axion Algo will indemnify and defend you from and against any third-party claim alleging that the Service as delivered and used in unmodified form within the authorised scope of these Terms infringes a U.S.-issued patent, registered copyright, or registered trademark of that third party, and will pay any final judgment awarded against you on such claim (or any settlement that Axion approves in writing). This indemnification does NOT apply where the claim arises from: (a) your modifications to or derivative works from the Service; (b) combination of the Service with any third-party product, software, data, or service not supplied by Axion; (c) use of the Service outside its authorised scope; (d) your continued use of an allegedly infringing version after Axion has made a non-infringing alternative available; (e) compliance with your specifications or instructions.

30.3 Defense Procedures. The indemnified party shall: (i) provide the indemnifying party with prompt written notice of any claim (within fourteen (14) calendar days of becoming aware, except that failure to provide timely notice excuses the indemnifying party only to the extent it is materially prejudiced by such failure); (ii) cooperate reasonably (at the indemnifying party's expense) in the defense and any settlement negotiation; (iii) grant the indemnifying party full control of the defense and settlement, provided that any settlement that imposes a non-monetary obligation on the indemnified party or requires admission of liability or fault by the indemnified party requires the indemnified party's prior written consent, which shall not be unreasonably withheld, conditioned, or delayed.

30.4 No Admission. Neither party shall make any admission of liability or fault, or any public statement (whether to the media, on social media, or in any regulatory filing) regarding any indemnified claim, without the prior written consent of the other party.

30.5 Exclusive Remedy. The indemnification obligations in this Section 30 and Section 12 state the sole and exclusive remedy for the indemnified party with respect to third-party intellectual- property claims. All other indemnification arises by operation of law, not by contract.

Section 31 - Mandatory Arbitration & Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO RESOLVE DISPUTES WITH AXION ALGO ON AN INDIVIDUAL BASIS THROUGH FINAL AND BINDING ARBITRATION AND TO WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION. THIS SECTION 31 SUPPLEMENTS AND, WHERE IN CONFLICT, SUPERSEDES SECTION 16.

31.1 Agreement to Arbitrate

Any "Dispute"—defined broadly as any claim, controversy, cause of action, demand, allegation, or dispute arising out of or relating to these Terms, the Service, any past, current, or future version of the Service, any indicator output, any communication or marketing from Axion Algo, any payment or refund, any account action, or the relationship between you and Axion Algo, whether based in contract, tort (including negligence), warranty, statute, regulation, ordinance, constitution, common law, or any other legal or equitable theory—shall be resolved exclusively by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules then in effect (or, if JAMS is unwilling or unable to administer the arbitration, by such other reputable arbitration administrator as the parties may agree, or as the court may appoint).

31.2 Arbitration Venue

The seat of arbitration is Wilmington, Delaware. If you reside outside the United States, the seat shall be the city closest to your residence where JAMS administers cases (or, if JAMS does not administer in your region, Wilmington, Delaware shall remain the seat). Hearings may be conducted by videoconference at your election; in-person hearings may also be conducted at your election in the seat city. The arbitrator may permit document-only proceedings for claims valued under USD 25,000.

31.3 Arbitrator's Authority

The arbitrator has sole authority to resolve any threshold issue regarding the formation, existence, validity, interpretation, scope, enforceability, or applicability of this arbitration agreement, including any claim that all or part of this arbitration agreement is void or voidable, except that the enforceability of the Class-Action Waiver in Section 31.5 shall be decided by a court of competent jurisdiction, not the arbitrator.

31.4 Fees & Costs

For any Dispute in which the amount in controversy is less than or equal to USD 75,000, Axion Algo will pay the arbitrator's fees and JAMS' administrative fees. For Disputes above that threshold, fees shall be split between the parties in accordance with JAMS' Streamlined Arbitration Rules. Each party shall bear its own attorneys' fees and costs, except that the arbitrator may award attorneys' fees and costs to the prevailing party where authorised by applicable fee-shifting statute (e.g., 42 U.S.C. § 1988, state consumer-protection statutes, intellectual- property statutes).

31.5 Class-Action Waiver

You and Axion Algo agree that all Disputes shall be resolved only on an individual basis. No class actions, class arbitrations, mass arbitrations, collective actions, consolidated actions, representative actions (including private-attorney-general actions to the extent waivable), or any proceeding involving claims of more than one person are permitted. Any claim must be brought solely in your individual capacity, and not as a plaintiff, claimant, or class member in any class, collective, mass, or representative proceeding. The arbitrator shall have no authority to consolidate, join, or aggregate claims of more than one person, or to preside over any class, collective, mass, or representative proceeding.

Savings provision. If a court of competent jurisdiction determines that the Class-Action Waiver is unenforceable as to a particular claim or remedy, then (and only then) that claim or remedy shall proceed in court (subject to Section 38 governing law and forum), the entire arbitration agreement shall be null and void as to that claim or remedy, and the Jury-Trial Waiver in Section 32 shall apply. For all other claims and remedies, this arbitration agreement remains in full force. The Class-Action Waiver is severable from the rest of these Terms but is NOT severable from the arbitration agreement itself: if the Class-Action Waiver is held unenforceable, the arbitration obligation falls with it.

31.6 Opt-Out Right

You may opt out of this arbitration agreement (including the Class- Action Waiver) by sending written notice within thirty (30) calendar days of first accepting these Terms (the "Opt-Out Window"). Notice must be sent by certified mail with return receipt requested to:

Until a postal mailing address is designated, you may preserve your opt-out rights by sending notice to our contact form with the subject line: "Arbitration Opt-Out — [your account e-mail]". Notice (whether postal or electronic) must include: (a) your full legal name; (b) the e-mail address on your Axion Algo account; (c) your account ID (visible in the dashboard); (d) your current mailing address; (e) the clear statement: "I opt out of Axion Algo's arbitration agreement." Opt-outs received after the 30-day window are not effective. Opting out of arbitration does not opt you out of any other provision of these Terms.

31.7 Carve-Out for Small Claims and Equitable Relief

Notwithstanding the arbitration obligation, either party may: (i) bring an individual action in small-claims court of competent jurisdiction (subject to that court's monetary and subject-matter limits); (ii) seek temporary, preliminary, or permanent injunctive or other equitable relief in court to protect intellectual property, confidential information, security, or to prevent unauthorised access; (iii) report violations to regulatory or law-enforcement authorities.

31.8 Future Modifications

Axion Algo may modify this arbitration agreement from time to time. Modifications take effect thirty (30) days after notification (by e-mail to the address on file, in-app notification, or posted notice on the Service). During the 30-day notice window, you may opt out of the modified arbitration agreement by following the procedure in Section 31.6, in which case the immediately prior version of the arbitration agreement governs your Disputes.

Section 32 - Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND AXION ALGO EACH KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY RIGHT TO TRIAL BY JURY in any litigation that proceeds in court arising out of or relating to these Terms or the Service, including (without limitation) litigation that proceeds in court because: (i) the Class-Action Waiver in Section 31.5 is held unenforceable; (ii) the dispute falls within the small-claims or equitable-relief carve-out in Section 31.7; (iii) you have validly opted out of arbitration under Section 31.6; or (iv) the arbitration agreement is otherwise inapplicable. Each party acknowledges that this waiver is a material inducement to entering into these Terms and that it has had the opportunity to consult independent legal counsel concerning the waiver.

Section 33 - Statute of Limitations — Shortened by Contract

Any claim or cause of action arising out of or relating to these Terms or the Service must be filed (whether in arbitration or court) within one (1) year after the cause of action accrues, or such claim shall be permanently and forever barred. This contractual limitations period is in addition to, and where shorter shall override, any statutory limitations period otherwise applicable. Where the shortening of statutory limitations is not enforceable under the mandatory consumer-protection law of your jurisdiction (e.g., certain EU consumer-protection statutes, certain U.S. state-law claims under unfair-and-deceptive-acts statutes), the statutory period shall apply instead of the one-year contractual period, but only to the minimum extent required by such mandatory law.

For clarity, the accrual date of a claim is the date on which the claimant first knew or, with reasonable diligence, should have known all material facts giving rise to the claim. The accrual date is not deferred by continued use of the Service, by ongoing communications with Axion Algo, or by efforts at informal resolution.

Section 34 - Survival Clauses

The following Sections shall survive any termination or expiration of these Terms or of your subscription, and continue in full force and effect: Section 1.1 (Risk Disclosure and Regulatory Status); Section 6 (Intellectual Property Rights and Ownership); Section 7 (Trademarks and Branding); Section 8 (Prohibited Uses); Section 9 (Risk Disclosure and No Financial Advice); Section 10 (Disclaimer of Warranties; Limitation of Liability); Section 11 (Privacy and Third-Party Services) to the extent of data retained; Section 12 (Indemnification); Section 14 (Legal Status and Dispute Resolution); Section 15 (DMCA); Section 16 (Binding Arbitration); Section 17 (Force Majeure) to the extent of ongoing events; Section 18 (Assignment, Notices, Severability, Survival & Waiver); Section 22 (User-Generated Content licence); Section 23 (Open-Source Components); Section 24 (Limitation Period); Section 25 (Independent Contractor); Section 27 (Acceptable Use); Section 29 (DMCA Incorporated); Section 30 (Indemnification — Mutual); Section 31 (Mandatory Arbitration & Class-Action Waiver); Section 32 (Jury Trial Waiver); Section 33 (Statute of Limitations); this Section 34 (Survival); Section 38 (Governing Law & Forum); Section 66 (Contact Information); plus all accrued payment obligations for services rendered prior to termination; plus any other provision which by its nature is reasonably intended to survive.

Section 35 - Affiliate Program Terms (Referenced)

Axion Algo's affiliate program is governed by the Affiliate Program Terms previewed in Section 20 above and (when published) at the standalone page /affiliate-terms. The summary that follows is binding pending publication of the standalone document:

  • Commission: twenty to thirty percent (20–30%) of the net subscription revenue received from each referred customer during the first twelve (12) months of that customer's subscription. Specific percentage depends on the affiliate's tier (Standard 20%, Pro 25%, Elite 30%; tiering criteria published separately).
  • Cookie window: thirty (30) days first-touch attribution. The first qualifying affiliate cookie at the time of paid signup wins.
  • Payout threshold: USD 100. Balances below the threshold roll over to the next payout cycle.
  • Payout cadence: monthly, approximately thirty (30) days after the close of the calendar month in which the underlying subscription payment cleared and survived its refund-and-chargeback reversal window.
  • Payout methods: PayPal, Wise, or Stripe Connect at the affiliate's election. Bank-wire payouts may be available on request for balances above USD 1,000.
  • No commission is paid on transactions that are refunded, charged back, disputed, or determined to be fraudulent; previously paid commissions on such transactions may be clawed back from future earnings or invoiced.
  • No self-referrals. Affiliates may not earn commission on their own subscription, on subscriptions purchased by household members, or on subscriptions purchased by parties acting in concert with the affiliate.
  • Tax forms required. US affiliates must submit a completed Form W-9 before first payout; non-US affiliates must submit Form W-8BEN (individuals) or W-8BEN-E (entities). Forms are re-validated every three (3) years.
  • Information returns. US affiliates earning USD 600 or more in a calendar year receive Form 1099-NEC. Non-US recipients of US-source income may receive Form 1042-S; standard withholding is 30% absent a valid treaty rate established by Form W-8BEN.

Section 36 - Beta Features Terms (Detailed)

This Section expands and supplements Section 19. Beta or preview features are clearly labelled within the Service with the tag "BETA", "PREVIEW", "ALPHA", or "EXPERIMENTAL". By accessing or using any beta feature, you acknowledge and agree to the following terms in addition to all other terms herein:

  • AS-IS, no warranty. Beta features are provided strictly AS-IS, with no warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, or signal quality.
  • Withdrawal without notice. Beta features may be modified, suspended, withdrawn, deprecated, or removed at any time without notice and without liability. Axion Algo does not commit to ever promoting a beta feature to general availability.
  • Access revocation. Access to a particular beta feature may be revoked from any individual user at any time, for any reason or no reason, including capacity constraints, suspected misuse, or non-engagement.
  • Confidentiality / Implied NDA. You agree not to publicly disclose, describe, screenshot, demo, livestream, blog about, post on social media about, or otherwise communicate the existence, scope, behaviour, signal output, or implementation of any beta feature to any third party without Axion's prior written consent. This obligation is treated as a confidentiality obligation for all purposes (including Section 14 carve-out for equitable relief).
  • Enhanced telemetry. Usage data, click telemetry, performance traces, error logs, and other diagnostic signals from beta features may be collected, retained, and analysed in substantially greater detail than for generally available features, for the purpose of evaluation, debugging, and product improvement. By using a beta feature, you consent to this enhanced telemetry. Beta telemetry is anonymised before being used for analytics or shared with third parties.
  • Bug-bounty interaction. Reports of bugs, defects, or security vulnerabilities in beta features should be sent to our contact form and are subject to our responsible-disclosure policy.

Section 37 - Force Majeure (Expanded)

This Section expands the force-majeure provision introduced in Section 17 and provides the controlling text in case of any inconsistency. Neither party shall be liable for any delay, failure, or non-performance of its obligations under these Terms (other than payment obligations, which are deferred but not excused) caused by events beyond its reasonable control, including without limitation:

  • War, declared or undeclared; acts of foreign or domestic terrorism; civil unrest, insurrection, rebellion, coup d'état, riot, or curfew;
  • Pandemic, epidemic, public-health emergency, quarantine order, or mass-isolation directive;
  • Government action, change in law, change in regulation, sanctions imposition, embargo, export-control restriction, currency control, or revocation of operating licence;
  • Cyberattack of any kind, including distributed denial of service (DDoS), ransomware, supply-chain compromise, zero-day exploitation, credential-stuffing campaign, or nation-state-sponsored intrusion;
  • Trading-venue outage including but not limited to NYSE, NASDAQ, CBOE, CME, ICE, Eurex, LSE, TSE, HKEX, Binance, Coinbase, Kraken, Bybit, OKX, and any other exchange or trading venue from which the indicator draws data;
  • Internet-backbone failure, BGP routing incident, undersea-cable cut, satellite outage, ISP failure, last-mile failure, or DNS outage;
  • Power-grid failure, blackout, brownout, fuel shortage; data-centre incident including fire, flood, HVAC failure, physical-security breach;
  • Cloud-provider outage including but not limited to Amazon Web Services (AWS), Google Cloud Platform (GCP), Microsoft Azure, Cloudflare, Supabase, Vercel, Fly.io, Hetzner, DigitalOcean, OVHcloud, Linode, and any other provider of compute, storage, networking, CDN, edge, database-as-a-service, or platform-as-a- service on which the Service depends;
  • Supply-chain disruption affecting hardware, software dependencies, third-party APIs, or critical libraries (including npm-registry incidents, leftpad-style events, and malicious-package incidents);
  • Artificial-intelligence service outage, model deprecation, or capacity restriction at providers including OpenAI, Anthropic, Google, Meta, xAI, or other AI/ML services if used anywhere in the Axion pipeline;
  • Climate or natural event including hurricane, typhoon, tornado, earthquake, tsunami, volcanic eruption, wildfire, flood, blizzard, ice storm, or extreme heat event;
  • Labour action including strike, lockout, work stoppage, walkout, or slowdown, whether involving the affected party's personnel or third-party personnel;
  • Currency controls, banking-system disruption, payment-rail outage (including Stripe, ACH, SEPA, SWIFT, Visa, MasterCard, PayPal, Wise).

The affected party shall promptly notify the other of the force-majeure event, shall use commercially reasonable efforts to mitigate the impact and resume performance, and shall resume performance promptly upon cessation of the event. If a force-majeure event continues for more than thirty (30) consecutive days, either party may terminate the affected Service or these Terms without further liability, with refund of any prepaid but unused subscription fees on a prorated basis.

Section 38 - Government Use / FAR 52.227-19

The Axion Algo software is "Commercial Computer Software" as defined at 48 C.F.R. § 2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation" as such terms are used at 48 C.F.R. § 12.212. Consistent with 48 C.F.R. § 12.212 and 48 C.F.R. §§ 227.7202-1 through 227.7202-4 (or equivalent successor provisions), all U.S. Government end-users acquire the software with only those rights set forth in these Terms.

Use, duplication, or disclosure by the U.S. Government is subject to the restrictions set forth in subparagraphs (c)(1) and (c)(2) of the Commercial Computer Software-Restricted Rights clause at FAR 52.227-19, or the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013, as applicable. Manufacturer: Axion Algo (an unincorporated service; contact our contact form for a designated mailing address). No additional or expanded rights are granted to the U.S. Government by virtue of these Terms or by virtue of any course of dealing.

Section 39 - Equitable Relief Carve-Out

Notwithstanding any other provision of these Terms (including the arbitration obligation in Section 31), Axion Algo may seek temporary, preliminary, or permanent injunctive relief, specific performance, or other equitable remedies in any court of competent jurisdiction, and without the posting of any bond or other security, to prevent or restrain: (i) infringement, misappropriation, or unauthorised use of intellectual property (including the Axion Algo indicator code, brand assets, and trade secrets); (ii) breach of confidentiality obligations; (iii) unauthorised access to or interference with the Service or any related system; (iv) violations of the Acceptable Use Policy involving threats to security, fraud, sanctions, or systemic abuse; (v) brand misuse, including impersonation of Axion Algo or its personnel on social media or in advertising channels.

The right to seek equitable relief is cumulative with all other rights and remedies (including arbitration of damages claims), is not waived by any prior failure to seek such relief, and survives the arbitration agreement. The opposing party stipulates that breach of the obligations listed in this Section would cause irreparable harm for which monetary damages alone would be inadequate.

Section 40 - Joint Venture / Partnership Disclaimer

Nothing in these Terms, the Acceptable Use Policy, the Privacy Policy, the Disclaimer, the Refund Policy, or any related document creates an agency, partnership, joint venture, employer-employee, franchise, fiduciary, trustee, broker-dealer, investment-adviser, or any similar relationship between you and Axion Algo. Each party is and remains an independent contractor with respect to the other. Neither party has the authority, express or implied, to bind the other to any obligation, to make any representation or warranty on behalf of the other, to accept service of process on behalf of the other, to incur any expense on behalf of the other, or to act as agent or representative of the other for any purpose whatsoever. Nothing in these Terms is intended to confer upon any third party any right, remedy, claim, or benefit (no third-party beneficiaries) except as expressly stated.

Section 41 - Notices & Service of Process

41.1 Notices from Axion Algo to you. Any notice we are required or permitted to give to you under these Terms is sufficient if sent to the e-mail address associated with your account at the time of sending, and shall be deemed received on the date of transmission. We may also (but are not required to) provide notice via in-app banner, dashboard pop-up, or SMS (if a phone number is on file and the matter concerns security, fraud, or account-status changes).

41.2 Notices from you to Axion Algo. Operational and support notices may be sent to our contact form. Legal notices (including notices regarding breach, dispute, arbitration, opt-out, DMCA, indemnification claims, and termination for cause) must be sent by certified mail with return receipt requested to:

Legal notices are effective on the date of receipt evidenced by the return receipt (or, if delivery is refused, on the date of attempted delivery), provided the courtesy e-mail copy was also sent. Until a postal mailing address is published, legal notices sent to our contact form with clear subject-line designation will preserve the sender's rights pending publication of the postal address.

41.3 Service of judicial process. Service of judicial process (including subpoenas, summonses, and complaints) is accepted only at the designated postal mailing address and only by methods recognised under applicable law (typically personal service or certified mail, depending on the rule of the issuing court). Electronic service of judicial process is not accepted unless the parties have previously stipulated to such service in writing for the specific proceeding.

Section 42 - Tax Responsibility (Expanded)

All prices displayed on the Axion Algo website and at checkout are exclusive of any applicable taxes, levies, duties, or governmental charges (collectively, "Taxes") unless expressly stated to be inclusive. You are responsible for all Taxes assessed on your purchase or use of the Service, except taxes imposed on Axion Algo's net income, gross receipts, or franchise. Taxes are computed and collected at checkout where required, typically using Stripe Tax for U.S. and many international jurisdictions.

  • U.S. sales/use tax: rates vary by state; nexus and taxability depend on the customer's ship-to or billing address and on the state's treatment of software-as-a-service. Stripe Tax determines the applicable rate at checkout.
  • EU VAT: for B2C transactions, VAT is charged at the customer's country rate (place-of-supply rules under the one-stop-shop scheme). For B2B transactions where the customer provides a valid VAT identification number that we verify via VIES, the reverse-charge mechanism applies and VAT is not added.
  • UK VAT: twenty percent (20%) standard rate.
  • Australia GST: ten percent (10%) where applicable.
  • Canada GST/HST/PST/QST: five percent to fifteen percent (5–15%) depending on the province (federal GST plus provincial/harmonised components).
  • Japan consumption tax: ten percent (10%).
  • India GST: eighteen percent (18%) on online information and database access services.

42.1 Withholding tax. Affiliate payments may be subject to withholding. US-resident affiliates with US-source income receive Form 1099-NEC (compensation) or Form 1099-MISC (other), as applicable. Non-US affiliates receiving US-source income are subject to default thirty percent (30%) withholding unless a reduced treaty rate applies, which the affiliate may claim by submitting a valid Form W-8BEN (or W-8BEN-E for entities) before payout.

42.2 Customer tax compliance. You are solely responsible for declaring and paying any tax assessable on your own income, including (where applicable) income from affiliate commissions, income from trading activity that you may have undertaken in connection with or in reliance on Axion outputs, and any cross-border income recognised under your jurisdiction's tax code. You agree to indemnify and hold harmless Axion Algo against any claim, assessment, penalty, or interest charge from any tax authority arising from your failure to declare and pay tax on income derived (directly or indirectly) from Axion-related activity.

Section 43 - Performance Disclaimer (Detailed)

This Section incorporates by reference the full Disclaimer published at /disclaimer and provides additional clarity within the Terms.

Hypothetical, simulated, paper-traded, backtested, walk-forward, optimised, and curve-fitted performance results are not live performance and have important inherent limitations. Such results are constructed with the benefit of hindsight; do not reflect actual order execution, slippage, partial fills, or variable spreads; do not reflect liquidity constraints under stressed market conditions; do not reflect trader psychology, fatigue, fear, or discipline issues; do not reflect the behavioural drift between simulated and real money; and may be subject to look-ahead bias (using information that would not have been available at the time of decision), survivorship bias (excluding instruments that subsequently delisted, defaulted, or underperformed), data-snooping bias (the strategy was selected from many candidates based on its historical fit), and regime-change risk (the historical market regime no longer applies).

Backtests on small samples, on a single asset, or on a single market regime are particularly suspect. Walk-forward and out-of-sample validation reduce but do not eliminate the risk that hypothetical performance overstates live performance. Past performance is not indicative of future results. No representation is or has been made that any account will achieve, or is likely to achieve, profits or losses similar to those shown in any hypothetical presentation.

Section 44 - Trade Execution Disclaimer

Axion Algo does NOT execute trades on your behalf. Axion Algo is a Pine Script technical-analysis indicator running on the TradingView charting platform. The Service:

  • does not have, and does not request, any credential or API key for your brokerage account;
  • does not place, route, modify, cancel, or amend any order at any broker, dealer, exchange, ECN, dark pool, ATS, MTF, or other trading venue;
  • does not hold, custody, margin, or deposit any of your cash, securities, derivatives, cryptocurrencies, or other assets;
  • does not act as a broker-dealer, futures commission merchant, swap dealer, retail foreign-exchange dealer, cryptocurrency exchange, money-transmitter, or any other regulated financial intermediary;
  • has no visibility into your order book, account balance, position inventory, margin level, or P&L; we cannot verify whether or how you act on the indicator's signals.

You are solely responsible for: deciding whether to act on any indicator output; deciding the asset, side, size, price, and timing of any order; selecting a broker and other trading-venue counterparties; funding and maintaining your trading accounts; complying with all applicable trading rules, margin requirements, position limits, and reporting obligations; and bearing all gains, losses, fees, taxes, and regulatory consequences of your trading.

Section 45 - Margin & Leverage Warning

Trading on margin or with any form of leverage—including but not limited to securities margin (Regulation T, portfolio margin), futures and futures-options margin (SPAN, TIMS), foreign-exchange leverage, contracts-for-difference (CFDs), perpetual swaps, and isolated- or cross-margin crypto-derivatives positions—amplifies both gains and losses. Adverse market moves can:

  • consume your initial margin deposit in full;
  • generate liabilities exceeding your deposit (negative balances), unless your venue offers negative-balance protection that applies in your jurisdiction;
  • trigger margin calls, liquidation, or forced auto-deleveraging (notably on crypto perpetual venues), in some cases without prior notice and at prices materially worse than the trigger price;
  • cause your broker to liquidate other positions in your account to satisfy a margin shortfall.

Leveraged products are not suitable for inexperienced traders, for traders who cannot afford to lose the entire amount risked, or for traders without a documented risk-management plan. The retail-trader loss rates published by EU regulators under MiFID II for CFDs typically range from 70% to 89% of accounts losing money over rolling 12-month windows; comparable loss rates are observed in many leveraged crypto markets. You acknowledge these warnings and proceed at your own risk.

Section 46 - Pattern Day Trader Rule (U.S. Equities)

For users trading U.S.-listed equities and equity options in margin accounts at FINRA-member broker-dealers: FINRA Rule 4210 designates as a "Pattern Day Trader" any customer who executes four (4) or more day trades within five (5) business days, provided such day trades represent more than six percent (6%) of the customer's total trading activity in that period. Pattern Day Trader accounts must maintain minimum equity of USD 25,000 in the margin account. Falling below USD 25,000 triggers a restriction on day-trading until the deficit is cured.

Axion Algo does not monitor or enforce the PDT rule and has no visibility into whether your trading activity would trigger PDT designation. You are solely responsible for understanding, monitoring, and complying with the PDT rule as enforced by your broker, and for any consequences (including 90-day account restrictions) of non-compliance.

Section 47 - Wash Sale Rule (IRC § 1091)

For U.S. taxpayers: Internal Revenue Code § 1091disallows the recognition of a loss from the sale or other disposition of stock or securities where, within thirty (30) days before or after such sale, the taxpayer acquires (or enters into a contract or option to acquire) substantially identical stock or securities. The disallowed loss is added to the basis of the replacement security and the holding period is tacked. Wash-sale rules currently apply to stocks, securities, and certain options and futures; they do not yet apply to cryptocurrencies under enacted federal law, although extension to digital assets has been proposed in successive budget reconciliation bills and may be enacted at any time.

You are solely responsible for tracking wash-sale events across all your accounts (broker-issued 1099-B statements track wash sales only within a single account), for properly reflecting wash sales on Form 8949 and Schedule D, and for consulting a qualified tax advisor.

Section 48 - Straddle Rule (IRC § 1092)

For U.S. taxpayers: Internal Revenue Code § 1092governs "straddles"—offsetting positions in actively traded personal property—and may defer recognition of losses on one leg of a straddle until the offsetting position is closed. Related provisions affect identification rules, the modified short-sale rules, and the holding period for capital-gains characterisation. The straddle rules are complex and interact with the wash-sale rules and with mark-to-market elections for traders (IRC § 475). You should consult a qualified tax advisor before structuring positions that may constitute a straddle.

Section 49 - Cryptocurrency Tax Disclosures (U.S.)

For U.S. taxpayers transacting in cryptocurrency or other digital assets:

  • IRS Notice 2014-21 treats virtual currency as property for federal tax purposes; gain or loss on sale or exchange is generally capital in character.
  • Rev. Rul. 2019-24 addresses the tax treatment of hard forks and airdrops, generally treating the receipt of new coins resulting from a hard fork as ordinary income at fair market value on the date of constructive receipt.
  • Form 8949 and Schedule D are used to report capital gains and losses; each disposition must be reported, with cost basis and proceeds.
  • The "digital asset question" on Form 1040 must be answered "Yes" if you received, sold, exchanged, gifted, or otherwise disposed of a digital asset during the year.
  • FBAR (FinCEN Form 114) may be required if the aggregate value of your foreign financial accounts, including foreign-domiciled exchange accounts holding digital assets, exceeds USD 10,000 at any time during the calendar year. Form 8938 (FATCA) may also apply at higher thresholds.
  • Form 1099-DA (digital asset broker reporting)phases in for transactions on or after January 1, 2025, with full basis reporting in subsequent years.

Cryptocurrency tax treatment is an evolving area; consult a qualified tax advisor familiar with digital assets. Axion Algo does not provide tax advice.

Section 50 - Country & Sanctioned-Jurisdiction Exclusions

The Service is not offered, and may not be accessed, from the following comprehensively sanctioned jurisdictions and regions: Iran (Islamic Republic of Iran), the Democratic People's Republic of Korea (DPRK / North Korea), Cuba, Syria, and the Crimea region. The Service is further unavailable in: the so-called Donetsk People's Republic, the so-called Luhansk People's Republic, the Zaporizhzhia oblast (occupied portions), and the Kherson oblast (occupied portions). Sectoral sanctions under U.S. Executive Orders, the OFAC Russian Harmful Foreign Activities Sanctions Regulations (31 C.F.R. Part 587), EU sanctions programmes (including Council Decision 2014/512/CFSP as amended), and UK regulations (including the Russia (Sanctions) (EU Exit) Regulations 2019) impose additional restrictions on transactions touching Russia, Belarus, Venezuela, Myanmar, and various designated individuals and entities; Axion Algo enforces these restrictions through Stripe Radar, OFAC SDN screening, and IP geolocation.

Use of a VPN, proxy, Tor, or any other anonymisation or location-obfuscation technology to access the Service from a prohibited jurisdiction is a material breach of these Terms and may also constitute a violation of applicable sanctions law. We reserve the right to suspend or terminate access, freeze affiliate balances, and report sanctions evasion to OFAC, the EU, the UK HMT, and other relevant authorities.

Section 51 - Export Controls

The Service is classified as commercial off-the-shelf software using publicly available cryptographic functionality. For U.S. Export Administration Regulations (EAR) purposes, the Service is classified as ECCN 5D992.c and is generally eligible for export under License Exception ENC (15 C.F.R. § 740.17), subject to the usual destination, end-use, and end-user restrictions. You shall not, and shall not permit any third party to, directly or indirectly export, re-export, transfer (in-country), or release the Service or any technical data related thereto: (i) to any country, region, or person subject to U.S., EU, UK, UN, or other applicable sanctions or embargoes; (ii) to any party on the U.S. Denied Persons List, Entity List, Specially Designated Nationals list, or any equivalent list; (iii) for any prohibited end-use including nuclear, chemical, or biological weapons proliferation, missile technology, or military or intelligence end-uses subject to license.

You represent and warrant that you are not located in, under the control of, or a national or resident of any country, region, or sanctions programme that would prohibit access to the Service, and that your access and use complies with all applicable export-control and sanctions laws.

Section 52 - Anti-Bribery & Anti-Corruption

You and Axion Algo each represent, warrant, and covenant that, in connection with the Service and these Terms, neither party (nor any person acting on its behalf) has offered, promised, given, requested, agreed to receive, or accepted any financial or other advantage with the intent of inducing or rewarding the improper performance of any function or activity, in violation of: (i) the U.S. Foreign Corrupt Practices Act of 1977 (15 U.S.C. §§ 78dd-1 et seq.) and its anti-bribery and accounting provisions; (ii) the UK Bribery Act 2010 (including the offences of bribing another person, being bribed, bribing a foreign public official, and corporate failure to prevent bribery); (iii) the OECD Convention on Combating Bribery of Foreign Public Officials in International Business Transactions; (iv) any other applicable anti-bribery or anti-corruption law in any jurisdiction where the Service is offered or used.

Each party agrees to maintain reasonable books and records sufficient to demonstrate compliance with these obligations and to cooperate with any reasonable audit request from the other party arising from a credible allegation of breach.

Section 53 - Modern Slavery Statement

Axion Algo aligns its practices with the principles of the UK Modern Slavery Act 2015, the Australia Modern Slavery Act 2018, the Canada Bill S-211 (Fighting Against Forced Labour and Child Labour in Supply Chains Act, in force from January 1, 2024), the California Transparency in Supply Chains Act of 2010, and the German Lieferkettensorgfaltspflichtengesetz (LkSG, in force from January 1, 2023), to the extent applicable to a service of our scale and structure. We do not tolerate slavery, servitude, forced labour, child labour, or human trafficking in our operations or in our supply chain. Engagements with contractors, freelancers, and vendors are documented in writing; we expect our counterparties to apply equivalent standards in their own operations and supply chains.

A full Modern Slavery Statement (where required by the legal entity through which the Service is provided, and once the underlying thresholds are met) will be published annually at /modern-slavery-statement.

Section 54 - Whistleblower Protections

Axion Algo does not retaliate against any user, contractor, or staff member who, in good faith, reports a suspected violation of law, regulation, or these Terms to: (a) Axion Algo internally; (b) a regulatory or law-enforcement authority of competent jurisdiction; (c) an attorney for the purpose of seeking legal advice. Prohibited retaliation includes (without limitation) account suspension or termination motivated by the protected report, withholding affiliate commissions otherwise earned, threats, harassment, intimidation, or the filing of meritless counter-claims designed to chill protected activity.

Reports of suspected violations may be sent to our contact form or directly to the applicable regulatory or law-enforcement authority (including, in the U.S., the SEC Office of the Whistleblower, the CFTC Whistleblower Office, the IRS Whistleblower Office, FinCEN, or an equivalent body in your jurisdiction). Nothing in these Terms or in any other agreement with Axion Algo prevents you from: (i) reporting possible violations to a regulator; (ii) participating in a regulatory investigation; (iii) receiving any monetary award available under applicable whistleblower programmes. Confidentiality obligations under these Terms do not apply to disclosures protected by law.

Section 55 - Material vs Non-Material Changes

Section 13 grants Axion Algo the general right to modify these Terms. This Section 55 clarifies the notice convention applied when those modifications are made.

55.1 Material changes. Material changes—defined for purposes of this Section as changes that: (a) increase the price of an existing subscription tier you currently hold; (b) materially reduce the scope of features included in a tier you currently hold; (c) change the governing law or forum (Section 38); (d) modify the arbitration agreement (Section 31), the Class-Action Waiver, or the Jury-Trial Waiver (Section 32); (e) introduce a new category of binding obligation on the user not previously present; or (f) any other change a reasonable user would consider material—will be notified at least thirty (30) days in advance via e-mail to the address on file plus in-app notification. Material changes take effect at the end of the 30-day notice period unless you terminate your subscription before then.

55.2 Non-material changes. Non-material changes (including typographical corrections, clarifications without substantive impact, addition of minor non-default features, re-formatting, and updates to reflect new minor third-party services added) are effective upon posting of the updated Terms with a revised "Last Updated" date.

Section 56 - Severability (Expanded)

This Section 56 expands and supplements the severability provision in Section 18. If any provision of these Terms, or any application thereof, is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, unenforceable, or void in any respect, then: (i) such provision shall be severed from these Terms to the minimum extent necessary to render the remainder enforceable; (ii) the remaining provisions shall continue in full force and effect, and shall be enforced to the maximum extent permitted by law; (iii) where partial unenforceability can be cured by reformation, the unenforceable provision shall be deemed reformed (judicially "blue-pencilled") to the nearest scope that is enforceable in the jurisdiction; (iv) the parties shall negotiate in good faith to replace any wholly unenforceable provision with an enforceable provision that achieves, to the maximum extent permitted, the economic and legal intent of the original.

The single exception to severability is the relationship between the Class-Action Waiver and the arbitration agreement: per Section 31.5, the Class-Action Waiver is severable from the rest of these Terms but is NOT severable from the arbitration agreement.

Section 57 - Entire Agreement / Integration

These Terms, together with the Privacy Policy, the Acceptable Use Policy, the DMCA Policy, the Refund Policy, the Disclaimer, the Anti-Money Laundering Policy (AML), the Cookie Policy, the E-Mail Policy, the Privacy Rights Request procedure, any plan-specific terms presented at checkout, the click-wrap acceptance record at signup, and any addenda or amendments expressly incorporated by reference, constitute the entire agreement between you and Axion Algo with respect to the subject matter hereof. They supersede and replace all prior or contemporaneous oral or written agreements, representations, understandings, proposals, or communications between the parties concerning the same subject matter. No prior course of dealing or trade usage shall modify, supplement, or vary these Terms. You acknowledge that you have not relied on any statement, promise, representation, assurance, or warranty (whether innocent or negligent) not expressly set out in these Terms.

Section 58 - No Waiver

No failure or delay by Axion Algo (or by you) in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any further or future exercise of that or any other right, power, or privilege. The rights and remedies provided in these Terms are cumulative and not exclusive of any rights or remedies provided by law or equity. A waiver shall be effective only if made in writing and signed by a duly authorised representative of the waiving party, and shall apply only to the specific instance and purpose for which it is given.

Section 59 - Headings — Construction

The headings, section titles, subsection titles, and table-of-contents entries (if any) in these Terms are inserted for convenience of reference only and shall not affect the interpretation or construction of these Terms. The words "include", "including", and "such as" shall be construed as being followed by "without limitation" whether or not so followed. References to the singular include the plural and vice versa. References to any statute, regulation, or rule shall be construed as references to such statute, regulation, or rule as amended, re-enacted, replaced, or superseded from time to time, and to any subordinate legislation made under it. The rule of construction known as contra proferentem (ambiguity construed against the drafter) shall not apply to these Terms.

Section 60 - Counterparts & Electronic Acceptance

Acceptance of these Terms is given by clicking the "I agree" checkbox (or equivalent control) at signup and/or by accessing or using the Service. Such click-wrap acceptance constitutes a binding electronic signature under: (i) the U.S. Electronic Signatures in Global and National Commerce Act, 15 U.S.C. §§ 7001 et seq. (E-SIGN Act); (ii) the Uniform Electronic Transactions Act (UETA) as enacted in your state; (iii) the EU Regulation (EU) No 910/2014 (eIDAS); (iv) the UK Electronic Communications Act 2000 and Electronic Identification and Trust Services for Electronic Transactions Regulations 2016; (v) equivalent enabling legislation in your jurisdiction. You waive any defence to the formation or enforceability of these Terms based on the absence of a handwritten signature.

These Terms may be executed in counterparts (whether digital or otherwise), each of which is deemed an original and all of which together constitute one and the same instrument. We retain records of the date, IP address, user-agent string, and acceptance event for your click-wrap acceptance; such records are admissible as evidence of acceptance.

Section 61 - Assignment

This Section 61 supplements and clarifies the assignment provision in Section 18. You shall not assign, transfer, sublicense, delegate, or otherwise dispose of any of your rights or obligations under these Terms (including any account, subscription, affiliate balance, or licence) without the prior written consent of Axion Algo, which may be withheld in Axion's sole discretion. Any purported assignment in violation of this Section is void ab initio and constitutes a material breach.

Axion Algo may freely assign, transfer, or delegate these Terms and any rights or obligations hereunder, in whole or in part, without your consent and without notice: (i) to any affiliate or related entity; (ii) to any successor in interest in connection with a merger, acquisition, consolidation, reorganisation, sale of substantially all assets, change of control, asset spin-off, or equivalent transaction; (iii) by operation of law. The assignee shall succeed to all of Axion's rights and obligations hereunder.

Section 62 - Successors & Assigns

These Terms shall bind and inure to the benefit of the parties and their respective permitted successors, assigns, heirs, executors, administrators, and legal representatives. Nothing in this Section permits an assignment otherwise prohibited by Section 61.

Section 63 - Governing Law & Forum (Subject to Arbitration)

Subject to the binding arbitration obligation in Section 31, these Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG / Vienna Convention 1980) does not apply.

For any action that proceeds in court rather than arbitration (whether because of a valid opt-out under Section 31.6, the small-claims or equitable-relief carve-out under Section 31.7, or because the arbitration agreement is otherwise inapplicable), the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware, and waive any objection based on lack of personal jurisdiction, improper venue, or forum non conveniens.

Notwithstanding the foregoing, where the mandatory consumer-protection laws of your country of habitual residence provide a higher level of protection that may not be waived by contract, those mandatory protections shall apply alongside Delaware law to the minimum extent required by such laws.

Section 64 - Language Versions

These Terms are written and authoritative in English. Translations into other languages may be provided for convenience only. In the event of any conflict, ambiguity, or inconsistency between the English version and any translation, the English version shall control for all interpretive and enforcement purposes, except where the mandatory consumer-protection law of your country of habitual residence requires that the local-language version be given effect, in which case the local-language version applies to the minimum extent required.
